Sunpact Global provides outsourced accounting, bookkeeping, tax preparation, payroll processing, ITIN application assistance, US company formation, CFO services, audit support, and related financial services ("Services"). The specific scope of Services will be defined in a separate engagement letter or service agreement between Sunpact Global and the client.
You agree to:
We are not liable for errors, penalties, or delays arising from inaccurate, incomplete, or untimely information provided by you.
Fees: Service fees are as quoted in our proposal or engagement letter. We reserve the right to revise fees for ongoing services with 30 days' written notice.
Payment: Invoices are due within 14 days of the invoice date unless otherwise agreed. We accept credit cards, debit cards, bank transfers (ACH/wire), and other agreed payment methods.
Late Payment: Overdue invoices accrue interest at 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services on accounts overdue by more than 30 days.
Taxes: Fees are exclusive of applicable taxes (GST, sales tax, etc.), which will be added where required by law.
Refund requests should be sent to info@sunpactglobal.com with your invoice number and reason.
Both parties agree to keep confidential all non-public information received in connection with the Services. We maintain strict confidentiality of your financial data, tax information, and business records. Our staff are bound by confidentiality agreements. We will not disclose your information except as required by law, regulatory requirement, or with your prior written consent.
All content on sunpactglobal.com — including text, graphics, logos, methodology, templates, and software tools — is the property of Sunpact Global and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Work product created specifically for you (e.g., your tax returns, financial statements) belongs to you upon full payment of applicable fees.
To the maximum extent permitted by applicable law:
You agree to indemnify and hold harmless Sunpact Global, its officers, employees, and agents from any claims, damages, costs, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) inaccurate or incomplete information you provided; or (c) your violation of applicable laws.
Either party may terminate a service engagement with 30 days' written notice. We may terminate immediately for non-payment, breach of these Terms, or if continued engagement would violate professional standards or applicable law. Upon termination, you remain responsible for fees for work completed to the termination date. We will provide you with copies of your documents and work product upon receipt of all outstanding payments.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in Delaware, USA. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.
Neither party shall be liable for delays or failures caused by circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, internet outages, or IRS/government processing delays.
These Terms, together with any engagement letter or service agreement, constitute the entire agreement between you and Sunpact Global. They supersede all prior agreements, representations, and understandings. If any provision is found unenforceable, the remaining provisions remain in full force.
We may update these Terms from time to time. The updated version will be posted at sunpactglobal.com/terms.html with a revised date. Continued use of our services after changes constitutes acceptance.
